Wilson Sonsini Goodrich & Rosati is looking for an experienced Paralegal to join the firm’s Salt Lake City office to work closely with attorneys on private and public companies.
This hybrid opportunity is available to candidates who reside in either of the following markets:
- Salt Lake City, Utah
- Boise, Idaho
The responsibilities include but are not limited to:
- Assist with preparation of routine documents, such as incorporation documents, board and shareholder actions, indemnification agreements, and third-party agreements
- Handle basic stock and option administration, including drafting agreements, preparing reports, and maintaining capitalization records in equity management platform
- Conduct blue sky and corporate legal research
- Prepare and handle corporate and securities filings
- Assist on venture capital financings, debt financings, mergers, acquisitions, and public offerings
- Assist with correspondence to stockholders, directors, and investors
- Assist with due diligence and closing matters, including data room set-up, preparing signature packets, and creating closing volume
- Handle daily corporate maintenance work
- Organize client records and maintain files
- Input time entry daily
The job requirements are:
- Bachelor’s Degree or Paralegal Certificate
- Some corporate law firm experience preferred
- Proficient with Office suite (specifically Excel)
- Detail-oriented, organized, and able to work in team environment
- Excellent communication and prioritization skills to manage tasks
The primary location for this job posting is in Salt Lake City. The actual base pay offered will depend upon a variety of factors, including but not limited to the selected candidate’s qualifications, years of relevant experience, level of education, professional certifications and licenses, and work location. The anticipated pay range for this position is as follows: $29.46 – $39.85 per hour.
The compensation for this position may include overtime and a discretionary year-end merit bonus based on performance. We offer a highly competitive salary and benefits package.
